MINEBRIDGE — TERMS AND CONDITIONS

1. ABOUT MINEBRIDGE
MineBridge Limited is an online marketplace incorporated in Ghana (www.minebridge.co) that connects mining operations with verified service providers across Africa. We are a marketplace only — we are not a party to any contracts formed between users, and we do not provide legal, financial, technical, or safety advice.
2. WHO CAN USE THE PLATFORM
By creating an account, you confirm that you:
• Are at least 18 years old and legally able to enter contracts
• Have authority to bind your company if registering on its behalf
• Are not subject to comprehensive international sanctions
The Platform is intended primarily for users in Ghana and across Africa. Access from other regions is permitted but subject to local laws.
3. ACCOUNT TYPES
Mining Operations — Free
Mining companies can browse suppliers, post RFQs, compare proposals, and message verified suppliers at no charge.
Service Providers — Paid Subscription
Suppliers must complete our verification process before being listed. Plans (in USD):
• Basic: Free (limited features)
• Professional: $150/month or $1,500/year
• Premium: $300/month or $3,000/year
Payments are due on the 1st of each month (monthly) or upfront (annual). Accounts overdue by more than 7 days are suspended; after 30 days they are deleted.
Expert Network — Individual Consultants
Individual technical specialists may register under a separate pricing structure, subject to professional credential verification.
4. SUPPLIER VERIFICATION
To be listed, Service Providers must submit:
• Business registration and tax compliance documents
• Valid insurance certificates (liability, workers’ compensation, equipment)
• Industry certifications and licences
• At least 3 client references from the past 36 months
• Safety performance records
Verification takes 5–7 business days. It confirms credentials were valid at the time of review — it is not a guarantee of future performance or an endorsement by MineBridge. Mines must still conduct their own due diligence before awarding contracts.
Verified suppliers must renew annually. Failure to do so results in suspension of verified status and reduced listing visibility.
5. USER OBLIGATIONS
All users must:
• Provide accurate, up-to-date information at all times
• Comply with Ghanaian law and all applicable regulations
• Treat other users professionally and respectfully
• Not use the Platform to collect intelligence without intent to contract
• Not exchange contact details to bypass the Platform and avoid supplier fees
Service Providers must additionally maintain valid licences and insurance, respond to enquiries promptly, report changes in business status, and honour quoted pricing if a contract is awarded.
6. PROHIBITED CONDUCT
Users must not:
• Provide false or misleading information or misrepresent qualifications
• Create fake reviews, ratings, or testimonials
• Spam other users or use bots/scrapers to access the Platform
• Post defamatory, discriminatory, or harmful content
• Engage in bid rigging, fraud, money laundering, or anti-competitive behaviour
• Attempt to reverse-engineer or copy the Platform
• Circumvent verification processes or create multiple accounts
Violations may result in immediate account suspension or permanent termination.
7. FEES AND REFUNDS
• Monthly plans auto-renew on the 1st of each month. No refunds for partial months.
• Annual plans are billed upfront. Prorated refunds are available only if MineBridge terminates your account without cause.
• 30-day money-back guarantee: Professional and Premium subscribers who receive fewer than 3 qualified enquiries in their first 30 days may request a full refund and downgrade to Basic.
• Price changes require 60 days’ notice. Existing annual subscribers continue at their original rate until renewal.
• All prices exclude applicable taxes (VAT, withholding tax, etc.).
8. INTELLECTUAL PROPERTY
MineBridge owns all rights to the Platform, including its code, design, branding, and proprietary systems. Users receive a limited, non-transferable licence to use the Platform for legitimate business purposes only.
By posting content to the Platform (profiles, proposals, photos, reviews), you grant MineBridge a worldwide, royalty-free licence to use and display that content for Platform operation and marketing. You retain ownership of your content.
9. PRIVACY AND DATA
MineBridge collects account information, verification documents, usage data, and communications to operate the Platform. We do not sell user data to third parties.
Data is processed in Ghana. By using the Platform, you consent to this. Our full Privacy Policy is at www.minebridge.co/privacy.
Depending on your jurisdiction, you may request access to, correction, or deletion of your personal data by contacting privacy@minebridge.com.
10. REVIEWS AND RATINGS
Only Mines that have contracted with a Supplier through the Platform may post reviews. Reviews must be honest, factual, and professional. Fake reviews result in immediate account termination and potential legal action.
Suppliers may respond publicly to reviews. Legitimate negative reviews remain published even if disputed. MineBridge owns the compilation of reviews but individual reviewers retain copyright in their written comments.
11. DISCLAIMERS AND LIMITATION OF LIABILITY
The Platform is provided on an “as is” basis. MineBridge makes no warranties about Platform uptime, accuracy of content, or the performance of any Supplier.
To the maximum extent permitted by Ghanaian law, MineBridge is not liable for:
• Lost profits, business interruption, or reputational harm
• Supplier non-performance or contract disputes between users
• Safety incidents or project failures
• Unauthorised access to accounts or Platform errors
Our total liability to you shall not exceed the fees you have paid to MineBridge in the 12 months preceding any claim.
12. INDEMNIFICATION
You agree to indemnify and hold MineBridge harmless from any claims, losses, or expenses (including legal fees) arising from: your use of the Platform; false or infringing content you post; disputes with other users; or failure to comply with applicable laws.
13. TERMINATION AND SUSPENSION
You may close your account at any time through your account settings. Monthly subscribers retain access until the end of their paid period. Annual subscribers are not entitled to refunds on voluntary cancellation.
MineBridge may suspend or terminate accounts immediately for fraud, serious Terms violations, or non-payment (after a 30-day grace period). Termination without cause by MineBridge entitles annual subscribers to a prorated refund.
14. DISPUTE RESOLUTION
For disputes with MineBridge, contact support@minebridge.com first. We will respond within 5 business days and aim to resolve matters within 30 days.
Unresolved disputes are subject to binding arbitration administered by the Ghana Arbitration Centre (GAC), with the seat of arbitration in Accra, Ghana. These Terms are governed by the laws of Ghana.
For disputes between Mines and Suppliers, parties should first attempt direct resolution within 14 days. MineBridge can facilitate non-binding mediation (fee: $500 USD, split equally) if both parties agree.
Claims against MineBridge must be filed within one (1) year of the cause of action arising. You waive the right to bring class action proceedings.
15. CHANGES TO THESE TERMS
MineBridge may update these Terms at any time. Material changes will be notified via email and Platform notification at least 30 days in advance. Continued use of the Platform after changes take effect constitutes acceptance. The current version is always at www.minebridge.co/terms.
